“Terms of Agreement," for classes requiring a
registration fee.
Terms of Agreement
By submission of a completed “Class Registration,” the registering student/Agency (hereinafter referred to as “Client”) agrees with CRISIS NEGOTIATION TRAINING INSTITUTE, LLC (hereinafter referred to as “the Provider”) as to the provisions provided in this agreement, effective on the date of submitted said “Class Registration.” The Provider’s place of business is PO Box 2076, Apex, NC 27502 and the Client’s place of business is as provided in the “Class Registration” form submitted.
The Client hereby engages the Provider to provide services described herein under “Scope and Manner of Services.” The Provider hereby agrees to provide the Client with such services in exchange for consideration described herein under “Payment for Services Rendered.”
Scope and Manner of Services
Services To Be Rendered By Provider include: Instruction to “registered” law enforcement student(s) for a period of complete instruction on advertised subject. Subject matter covered is to be specific to instruction. Content of said instruction will be determined by Provider and will include provisions for evaluation of students’ successful completion of the course.
Payment for Services Rendered
The Client shall pay the Provider the described “registration fee”, per “registered” student for services rendered. Payment is due upon registration and registration IS transferable to student from same agency.
Refund Policy
The “registration fee” is NON-REFUNDABLE. Exception to this policy shall be upon cancellation of the class as determined by the Provider. Provider will make every effort to reschedule any cancelled classes. Registration fees will be applied to the rescheduled class. Fees are transferable. For registrants unable to attend rescheduled class, refund will be provided upon request. In case of cancellation, ALL registration fees will be refunded, in wholewithin thirty (30) days of receipt of request.
Applicable Law
This contract shall be governed by the laws of the County of Wake in the State of North Carolina and any applicable Federal law.
Indemnification
In addition to any other indemnification provided herein, Client shall defend, indemnify and hold the PROVIDER, and assigns harmless from and against all claims, suits, actions, liabilities, losses, costs, reasonable attorneys’ fees, expenses, judgments and damages resulting from any third party claim made or suit brought against any PROVIDER Entity or such persons, to the extent such results from (i) Client’s negligence in the performance of the Services, (ii) the acts, omissions or dishonesty of Client, its employees, subcontractors or invitees, or (iii) any breach of this Agreement or the warranties or representations hereunder by Client, its employees, subcontractors or invitees, (iv) infringing any patent, copyright, trademark, trade secret and any other intellectual property or proprietary right, (v) violating any federal or state law, regulation, statute or ordinance, (vi) failure to comply with the confidentiality obligations. For the purposes of this Agreement, any reference to Client’s “subcontractors” shall include any independent contractors of Client. PROVIDER shall notify Client promptly in writing of any claim described above. Client shall have the sole control of the defense and all related settlement negotiations unless any settlement involves anything other than the payment of money exclusively by Client. PROVIDER shall provide Client with reasonably requested assistance, information, and authority to perform the above. PROVIDER shall have the right but not the obligation to be represented by counsel of its own selection, at its own expense.
In addition to the indemnification provisions set forth elsewhere in this Agreement and not in limitation thereof, Client agrees to indemnify and hold harmless the PROVIDER, and assigns from and against any and all claims, suits, actions, liabilities, losses, costs, reasonable attorney fees, expenses, judgments or damages resulting from any claim made or suit brought by Client’s employees or their representatives for personal injury or death arising out of, during, or from performance of the Services, caused by any act or omission of Client.
The provisions of this Article shall survive the termination or expiration of all or any part of this Agreement.
Acceptance
By submitting a completed registration and payment, the client acknowledges awareness and acceptance of the included “Terms of Agreement."
